These Terms & Conditions ("Agreement") govern your use of Minda Financial Services' website and services. By accessing our website or engaging our services, you agree to be bound by these terms. If you do not agree with any part of these terms, please do not use our services.
1. Service Scope
Minda Financial Services provides the following services:
- Bank reconciliation and transaction management
- VAT returns preparation and filing
- Payroll administration
- Invoicing and accounts receivable management
- Year-end accounts preparation
- Xero and QuickBooks setup and management
Services do not include: Tax planning advice, legal advice, financial investment advice, or formal tax return preparation (unless explicitly agreed in writing). For tax planning or legal matters, we recommend consulting with a qualified tax advisor or solicitor.
2. Client Responsibilities
As our client, you agree to:
- Provide accurate, complete, and timely financial information and documentation
- Maintain secure access to your accounting software and bank accounts
- Inform us immediately of any errors or discrepancies we discover
- Retain copies of all original documents (receipts, invoices, bank statements) for at least 6 years
- Comply with all Irish tax and regulatory requirements
- Notify us of any changes to your business structure or circumstances
3. Payment Terms
- Monthly Services: €220–€1,000+ per month depending on your chosen package
- Setup Fee: €300–€600 (one-time, for software setup)
- Additional Services: Quoted separately as needed (e.g., VAT returns, payroll)
- Invoicing: Invoices are issued monthly in advance or on the first day of service
- Payment Due: Within 14 days of invoice date
- Late Payment: Late payments may incur interest at 5% per annum on overdue amounts
- Cancellation: 30 days' written notice required to terminate services; payment due for the notice period
4. Confidentiality
We commit to maintaining strict confidentiality of all your financial and business information. We will not disclose your information to third parties except:
- With your explicit written consent
- When legally required by Revenue Commissioners, court order, or regulatory authority
- To our service providers (banks, software providers) under confidentiality agreements
5. Professional Standards & Limitations of Liability
- We provide services in accordance with professional accounting standards and Irish law
- We are not responsible for the accuracy of information you provide to us
- We cannot be held liable for financial losses resulting from your business decisions
- Our liability is limited to the amount of fees paid in the 12 months preceding the claim
- We are not responsible for delays caused by incomplete information from you or third parties
- You agree to obtain professional indemnity insurance to cover our services where applicable
6. Data Protection & Security
Your financial data will be stored securely and handled in accordance with GDPR and our Privacy Policy. You retain ownership of all your financial information. We recommend:
- Using strong passwords for accounting software accounts
- Enabling two-factor authentication where available
- Informing us immediately if you suspect unauthorized access
7. Professional Indemnity Insurance
Minda Financial Services maintains professional indemnity insurance to protect clients against errors or omissions. Details are available upon request.
8. Record Retention
We retain client financial records and documentation for 6 years following the end of your service engagement, in compliance with Irish tax law. After this period, records may be securely destroyed unless you request to retain them.
9. Changes to Services & Pricing
We reserve the right to modify our services and pricing with 30 days' written notice. Changes will not apply to existing clients mid-contract unless agreed in writing.
10. Dispute Resolution
If you have a dispute with Minda Financial Services:
- Step 1: Contact us in writing with details of the dispute
- Step 2: We will respond within 14 days
- Step 3: If unresolved, you may pursue mediation or legal action through Irish courts
11. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of Ireland. You agree to submit to the exclusive jurisdiction of Irish courts for any legal proceedings.
12. Website Disclaimer
The information on our website is provided for general informational purposes only and does not constitute professional financial or legal advice. Always consult with a qualified professional before making financial decisions.
13. Termination of Services
- Either party may terminate this agreement with 30 days' written notice
- Upon termination, we will provide you with all your financial records
- You remain responsible for payment through the notice period
- We reserve the right to terminate immediately if you breach these terms or fail to pay invoices after 30 days

15. Entire Agreement
These Terms & Conditions, along with our Privacy Policy, constitute the entire agreement between you and Minda Financial Services and supersede all prior agreements or understandings.
This Agreement is effective as of May 2026. By engaging our services, you acknowledge that you have read and understood these Terms & Conditions and agree to be bound by them.
